1. Company Identity

These Terms of Service ("Terms") govern your access to and use of the services provided by Neevak Technologies Pvt. Ltd. ("Neevak"), a company registered in India with its registered office at Bengaluru, Karnataka, India.

By accessing our website at https://neevak.com or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Description of Services

Neevak provides a Software-as-a-Service (SaaS) platform for school operations management, including but not limited to:

• Fee management and collection (via integrated payment gateways including Razorpay)
• Bank reconciliation and financial reporting
• Accounting software integration (Tally export)
• Parent communication via WhatsApp notifications
• Attendance tracking and management
• Compliance reporting (UDISE+, NEP 2020)

3. User Obligations

By using our services, you agree to:

• Provide accurate, current, and complete information during registration and while using the platform
• Maintain the confidentiality of your account credentials
• Use the services only for lawful purposes and in accordance with applicable Indian laws
• Not attempt to gain unauthorized access to any part of the services, other accounts, or computer systems
• Not use the services to store, transmit, or process any data in violation of applicable privacy or data protection laws
• Ensure that you have obtained all necessary consents from parents, students, and staff for the collection and processing of their personal data through the platform

4. Payment Terms

Access to Neevak's services is provided on a subscription basis, the specific terms of which (including pricing, billing cycle, and payment methods) shall be as per the executed service agreement between Neevak and the subscribing institution.

All fees are exclusive of applicable taxes (GST) unless stated otherwise. Payments are non-refundable except as expressly stated in the service agreement or as required by applicable law.

Payment processing is handled by Razorpay, a third-party payment gateway. Your use of Razorpay's services is subject to Razorpay's terms and conditions.

5. Intellectual Property

The Neevak platform, including all software, algorithms, user interfaces, designs, documentation, and associated intellectual property, is and remains the exclusive property of Neevak Technologies Pvt. Ltd..

All data entered into the platform by the subscribing institution (including student records, fee records, attendance data, and academic records) remains the exclusive property of the subscribing institution. Neevak claims no ownership over your data.

6. Data Handling

We handle your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. We are committed to processing personal data in compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act) and other applicable data protection laws.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Neevak shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or business interruption, arising out of or in connection with your use of the services.

Neevak's total aggregate liability for any claims arising out of or related to these Terms or the services shall not exceed the total fees paid by you to Neevak in the twelve (12) months preceding the event giving rise to the claim.

8. Service Availability

While we strive for high availability, we do not guarantee uninterrupted access to the services. Scheduled maintenance, system updates, and circumstances beyond our reasonable control may result in temporary service interruptions. We will make commercially reasonable efforts to notify users of scheduled downtime in advance.

9. Termination

Either party may terminate the service agreement with thirty (30) days' written notice. Upon termination:

• Neevak will provide the subscribing institution with a complete export of all their data in a standard, machine-readable format within thirty (30) days of the termination date
• All outstanding fees for the current billing period remain payable
• Neevak will delete the institution's data from active systems within sixty (60) days of termination, subject to any legal retention requirements

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

11. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or through the platform. Continued use of the services after such changes constitutes acceptance of the revised Terms.
